RESOLUTIONS OF THE SHAREHOLDER OF GEOSANDS INC. (the "Corporation") The following resolutions, signed by the sole shareholder of the Corporation, are hereby passed pursuant to the provisions of the Business Corporations Act (Ontario) (the "Act"). APPOINTMENT OF DIRECTORS WHEREAS the number of directors within the minimum and maximum specified in the articles of incorporation of the Corporation has been fixed at five (5); AND WHEREAS Brian Kirkwood tendered his resignation as Director of the Corporation effective July 17, 2020 and Bruce Young tendered his resignation as a director of the Corporation effective July 1, 2020, following which there are currently three (3) directors of the Corporation; AND WHEREAS the shareholder wishes to elect or appoint Ted Ashwin and Ronald Anderson as directors of the Corporation, effective August 26, 2020. ACCORDINGLY, IT IS RESOLVED THAT: 1. Ronald Anderson and Ted Ashwin are hereby elected or appointed as directors of the Corporation, to hold office until the meeting of the shareholder to be held in January 2024, or until their successors are elected or appointed. 2.
