Approval of Operating By-laws and Amendments to the Articles of Incorporation BE IT RESOLVED THAT The Board of Directors of Geosands Inc. has duly passed a resolution to amend and repeal Geosands By-Law No. 1; WHEREAS written notice has been provided to The Town of Wasaga Beach that Geosands Inc. intends to seek approval to amend and restate By-Law No. 1 and seek approval to amend its Articles of Incorporation; FURTHER THAT, The Town of Wasaga Beach approves the amended and restated Geosands By-Law No. 1, authorizing the CAO as the signatory to sign the By-Law on behalf of the Town of Wasaga Beach; AND FURTHER THAT, The Town of Wasaga Beach approves Geosands Inc. and each wholly-owned subsidiary to amend the Articles of Incorporation for the removal of provisions related to Director Indemnity and Shareholder Notice. THAT Council receive the Director of Recreation, Events and Facilities’ report regarding construction next steps surrounding the partnership with the Simcoe County District School Board for the provision of joint use recreation facilities as part of the new elementary school in the Sunnidale Trails Subdivision for information; AND FURTHER THAT Council recognizes the Simcoe County District School Board is finalizing steps to tender the construction project for the future Wasaga Beach Elementary School with capital cost implications for the Town based on the proposed Joint Use Facility and Cost Sharing Agreement substantially approved by Council in February 2021; AND FURTHER THAT Council approves the Town committing its estimated proportional share of the future community school and site capital costs at $1,777,409.19.
